Terms and Conditions of Use and Sale for Businesses and Self-Employed Individuals of  califica.reviews

Last updated: September 16, 2026

Califica's review platform allows you to connect with consumers, gather opinions, and gain insights, giving you the tools to improve your experiences. Our mission is to be a symbol of trust, and our platform is based on transparency and collaboration between businesses, freelancers, and consumers. Therefore, before using our services, we ask that you read these terms of use and sale for businesses and freelancers (which we will refer to simply as "  terms  ") so that you understand what we expect from you and what you can expect from us.

Whether you wish to use Califica for free or our paid services, you must accept these terms to understand your legal rights and obligations, as well as ours. Your access to and use of our services is subject to your acceptance of these terms at all times. Therefore, if at any time you do not agree to or cannot comply with them, you should not access or use any of our services. For clarity, your use of our platform or services, whether free or on a trial basis, will be governed by these terms.

You agree to these terms by taking one or more of the following actions: (a) clicking on a box or button confirming that you accept these terms (or similar confirmation); (b) signing or accepting a quote, order form, or similar document that references these terms; (c) paying or accepting an invoice for a subscription to our paid services; or (d) claiming a business profile page or accessing or using any of our services.

If you have questions about Califica, please check our Frequently Asked Questions (FAQ). If you still can't find the answer you're looking for, you can contact us through the  "Contact Us" page.

Just so you know, words or expressions defined in  quotation marks  have the same meaning every time they are used in these terms.

How to join and use Califica

Below, we explain how to access and use our services and subscribe to our paid services.

1.  You and Califica:  When we say "  you  " or "  your,  " we mean the entity or company you represent or are self-employed. When we say "  Califica  ," "  we  ," "  our ,  " or "  us  ," we mean the Califica entity with which you are contracting, as set out in the  "Our Contracting Entities and Applicable Law" section  of these terms. When we say "  affiliate  ," we mean, with respect to a party, an entity or company that it controls, is controlled by, or is under common control with, either directly or indirectly, that party.

2.  Our platform:  When we say  "our platform,"  we mean our review platform hosted at apta.reviews, any subdomain, subdirectory, website, or similar application. Our platform is operated in Spain.

3.  Our Services:  Our “  services  ” include the Califica business account, review services, and any other services we provide now or in the future, as described in any quote, order form, invoice, or other business documents or communications we send to you or your partner, if applicable (see the  “Partners” section  for more information), or on our platform (“  business materials or tools  ”). The following points apply to our services:

  • We cannot guarantee that our services and platform will be compatible with your browser, network, or computer configuration.
  • Our services do not include any third-party products (see the  Third-Party Products section  below for more information).
  • You are not eligible to access or use any service if you are under 18 years of age or under the minimum age required by the laws of your country of residence to enter into binding contracts.

4.  Business Profile Page:  If you wish to access our services, you or someone on your behalf must request a business profile page on our platform (sometimes also called a business profile page).

5.  Free Plan:  By requesting a business profile page, you will gain access to a business account, through which you can use all the services of our free plan. You will be able to use these services unless you delete your business account or we cancel your access.

6.  Subscriptions:  If you subscribe to one or more services not included in our free plan (a "  subscription  "), you will also be able to access these services through your business account. The following points will also apply to you:

  • Subscription period:  Most subscriptions last for 12 months, but the specific length of your subscription (“  subscription period  ”) will appear in the marketing materials issued or presented to you when you agree to purchase such subscription.
  • Subscription renewal:  At the end of each subscription period, your subscription will automatically renew for an additional period unless we have agreed otherwise with you or your partner (if applicable) in your quote, order form, or similar document, or unless either you or we cancel your subscription. If you do not renew your subscription, you will continue to have access to the services in our free plan.
  • Subscription Renewal Price:  To the extent permitted by law and subject to the rest of these terms, at the end of your current subscription period, we may (without notice) increase the total price of your subscription by up to 5%, unless: (a) you or we cancel your subscription in accordance with these terms; or (b) we notify you of a different price increase at least 45 days before your next renewal date. If we increase your price in accordance with this  Subscription Renewal Pricing section , the price increase will take effect on your next renewal date.

6A.  Partners:  You can also access our services and purchase a subscription through a Califica partner. When we say "  partner  ," we mean an independent third party authorized by Califica to resell or distribute our services through our various partner programs. You acknowledge that our partners are completely independent of us and that these companies have no authority to enter into contracts, grant rights, or make any promises, warranties, or commitments on our behalf. By using our services, you agree to these terms. However, the terms and conditions governing transactions or agreements solely between you and your partner (such as any professional services provided to you by your partner or any third-party products sold to you by your partner) will not form part of these terms. Your partner may also manage the renewal of your subscription, in which case you should contact them if you have any questions. If you fail to pay your partner for your subscription upon its expiration (or if your partner fails to pay us for your subscription), we may suspend or even terminate your access to our services.

7.  Domains:  You agree that you own (or are affiliated with) or have the exclusive right to operate the domain(s) for which you use our systems and services. If one of your affiliates owns or has the exclusive right to operate a domain for which you use our systems and services, you agree to accept these terms with respect to that domain.

8.  Sending invitations to your customers through our platform:  If you use our review invitation service, you will be considered the sender of each invitation sent, not us. Therefore, it is your responsibility to ensure that the invitations you send (or that we send on your behalf) through our services comply with all applicable legal and regulatory requirements, as well as these guidelines and terms.

In particular, you confirm that the content of each invitation will comply with all applicable legal and regulatory requirements, and that you have all the necessary rights, permissions, and consents to send your invitations in accordance with applicable privacy laws (as defined in the  "Privacy Laws  " section of these terms). For example, in some countries, review invitation emails are considered unsolicited marketing communications that require your customers' prior consent. This means that, under national law, you may need to obtain your customers' consent, and you therefore agree not to use our review invitation service to send invitations without obtaining the necessary consent.

9.  Sending invitations to your customers outside our platform:  By displaying or sending review invitations outside our platform, you agree to access and use our services. It is your responsibility to ensure that the invitations you send comply with all applicable legal and regulatory requirements, as well as these guidelines and terms.

10.  Business Account:  You assume full responsibility for controlling who manages and can access your business account, how it is managed, and how you use our services. For example:

  • You control access to your business account. You decide who can use and access the services available through your business account ("  authorized users  ") and what type of access each person has. You can modify or revoke that access at any time.
  • You are responsible for all activity of your authorized users, their use of our services, and their compliance with these terms and our guidelines.
  • You promise to keep your information (including a current email address) up to date.
  • You are responsible for providing true, accurate, and complete information.
  • You are also responsible for protecting your username and password from being stolen or misused.
  • You have the right to allow your affiliates to access and use our services under these terms; however, if you do so, you are responsible for ensuring that your affiliates comply with these terms and our guidelines, and you are responsible for their actions and omissions as if they were your own.

11.  User Roles and Access:  Ensure you understand the permissions you grant to your authorized users. Every authorized user you add to your business account is subject to these terms and our guidelines. You are responsible for the actions and omissions of each of your authorized users. It is your responsibility to ensure that each user is fully aware of their obligations and restrictions under these terms and our guidelines. For more information on user roles and access levels, please refer to our documentation.

12.  Your main responsibilities:  You must use our services only for domains whose business profile pages you have claimed or on your behalf (“  claimed domains  ”) and in accordance with your current subscription, if any. You agree to use our services only for lawful business purposes and in accordance with these terms and our guidelines.

13.  Guidelines:  By accessing or using our services or platform, you agree to respect and follow our guidelines, policies, and codes designed for businesses and everyone (and any other guidance mentioned in these terms) ("  Guidelines  "). Please read them and make sure you understand what you should and should not do. These Guidelines are very important because they describe, among other things, how you should (and should not) use our services or platform. Much of it will be common sense and is designed to ensure that we maintain our platform as a fair and trustworthy place for online reviews. We may update and make changes to the Guidelines from time to time. Any changes to the Guidelines will apply to you immediately without any further acceptance, confirmation, or affirmative action on your part.

Guidelines:

  • You can flag reviews that violate our guidelines:  Businesses can flag reviews that violate our guidelines (e.g., harmful content, personal information, fake reviews), but misuse of the flagging tool is not tolerated.
  • Fake reviews are not allowed:  Fake reviews are strictly prohibited and will be removed.
  • Claim your business profile:  Businesses can claim and manage their Rate profile, adding details and responding to reviews.
  • Send review invitations fairly:  Businesses are encouraged to invite customers to leave reviews, but invitations should be fair, neutral, and impartial, without offering incentives.
  • Reviewers own their reviews:  Reviews are the property of the reviewers, who can edit or delete them.
  • Responding to reviews:  Businesses should respond to reviews in a professional and polite manner.
  • We will take action if you misuse our platform:  misuse of the platform may result in actions such as account suspension or profile warnings.

14.  What Each Party Owns:  We, or our licensors, own all content on our platform or in our services, except for content owned by others, such as: (i) reviews on our platform, which are owned by the reviewers who created them; and (ii) any data you provide to us when sending invitations to your customers. Our ownership, or that of our licensors, includes rights in the design, compilation, and appearance of our platform and services. It also includes rights in all copyrighted works, registered and unregistered trademarks, designs, code, inventions, and other intellectual property. You agree not to copy, distribute, modify, or create derivative works from any of our content or use any of our intellectual property rights in any way not expressly permitted by us. This means you are not allowed to use our logos, graphics, and trademarks ("  our trademarks  ") or any other content on our platform or in our services, such as Rate and Reviews, unless we specifically indicate that you are authorized to use them.

You own your logo, brand, trademarks, and other intellectual property. You grant us and our affiliates the right to use your Customer Profile to provide, administer, and ensure the proper functioning of the services, platform, and related systems, as well as to fulfill our rights and obligations under these terms.

15.  User-Generated Content and Platform Activity Data:  Any review, review response, image, or other content created by or originating from you, any consumer, or other user of our services or platform is what we call "  user-generated content  ." When user-generated content is created by or originates from you, you authorize and license us to use, modify, copy, distribute, publish, and make available, and to create derivative works based on such user-generated content, anywhere in the world in perpetuity without restriction or payment to you, and you also warrant that you have the right to allow us to do so. Unless we remove user-generated content for violating our guidelines, or it is removed by its author, all user-generated content will remain publicly visible on our services, our platform, and any third-party services and networks (such as Google) even after your subscription has ended or you delete your business account.

We may collect and generate data related to your use of our services or platform, including, but not limited to, metrics, analytics, and information derived from your user-generated content and usage patterns (collectively, "  Platform Activity Data  "). All rights, title, and interest in and to the Platform Activity Data, including any derivative works or analyses thereof, belong exclusively to us. We may use the Platform Activity Data for any lawful purpose, including, but not limited to, improving our services, developing new features, generating information, and conducting analytics.

16.  Feedback:  We welcome any feedback you provide about our services and platform, and we may use it indefinitely without restriction or payment. To be clear, this means that if you provide us with written content or feedback, we may use, quote, or refer to it at our discretion.

17.  Qualified or beta services:  Occasionally, we may offer limited-time access to services or features that we haven't yet released as a final product to the market, such as a beta service. Due to the nature of these services, if you choose to use them, you do so at your own risk.

18.  Problems and Support:  If you encounter any problems, we have help articles in our  Help Center  that will assist you in most situations. If you are unable to resolve your issue through our Help Center, you can contact our support teams via the  Contact Us page  or by initiating a chat. Depending on your subscription, you may also have access to the Customer Success team, which can provide you with additional information.

19.  Impartiality:  We welcome businesses using us to share, listen to, and learn from their consumers through our role as online intermediaries. Your use of our services and brands does not imply our approval, endorsement, or recommendation of you or your products or services. Therefore, you should not promote or make public statements about them. Nothing in these terms should be construed as creating a partnership, joint venture, employment, or agency relationship between you and us.

20.  Display of names, logos, and reviews:

  • It is necessary for us to identify the businesses listed on Califica. Therefore, similar to a phone directory, you authorize us to display your company or business name and logo, or your freelancer's photo, on our platform to identify the services or products you offer. We give you control over your business profile, which means you can modify your name and logo at your discretion, provided they are real and used for legal purposes.
  • In addition, when you create a business account and use our services, you allow us to use your name, logo, and examples and images of how you use Califica in the public domain (e.g., on your website and in your advertisements) in corporate, promotional, and marketing materials and content in the normal course of business.
  • While using our services, you may display reviews of your company or business and our brands on the claimed domains, provided you follow our guidelines and only if you use the designs, widgets, images, and functionalities that we make available to you in your business account.

Any other use or display of our trademarks or content on Califica, including online or offline advertising, is only permitted in accordance with our guidelines. We reserve the right to revoke your use of our trademarks at any time if we believe it violates our guidelines.

21.  What not to do:  While we can't cover everything here, here are some important examples of things you should never do:

  • Undermine the security or integrity of our platform or services.
  • Using our platform or services in any way that may impair functionality or interfere with other people's use.
  • Accessing our platform or services without permission.
  • Introducing or uploading anything to our platform or services that includes a virus or other malicious code.
  • Writing, submitting, or obtaining fake reviews.
  • Doing anything that may be deceptive, offensive, violate any law, infringe on the rights of others, or not comply with our guidelines.
  • Modify, copy, adapt, reproduce, disassemble, decompile, reverse engineer or extract the source code of any part of our platform or services.
  • Resell, transfer, license, lease or provide our services in any way not expressly permitted through our services.
  • Repackage, resell, transfer, assign, distribute, host, sublicense or otherwise commercially exploit any part of our platform or services (including any content found on or accessed through our platform or services, except as permitted in these terms).
  • Committing fraud or other illegal acts through our platform or services.
  • Acting abusively or disrespectfully toward any Califica employee, partner, user, or other customer is prohibited. We will not tolerate any abuse or harassment of our Califica employees in any situation, including interactions with our support teams.
  • Remove any Califica branded content or proprietary notices or labels from our platform or commercial materials.
  • Using the platform, our services, or commercial or business materials for the purpose of providing any service or functionality that competes with our platform or services.
  • Accessing, searching, or collecting content from our platform or services by any means (automated or otherwise) is prohibited, except as permitted in these terms or authorized by us. Notwithstanding the foregoing, you must not perform, facilitate, authorize, or permit any text or data extraction or web mining in connection with our platform or services for any purpose, including the development, training, tuning, or validation of artificial intelligence systems or models, and you do not consent to the use of our platform or services for such purposes.

Third-party products

To help make your experience with our services even more powerful, our ecosystem includes integrations with products and services available from other companies (e.g., e-commerce platforms).

22.  Other Services:  To help you maximize the potential of our services, we understand that you may want to use data, products, and services from other companies (which we call "  third-party products  ") and connect them with our platform and services. We, or our partner (if applicable), can help streamline this process by making integrations with third-party products, such as third-party e-commerce platform providers or independent software providers, available for you to use. These companies may have additional terms and conditions that apply to you, and those terms and conditions will cover your use of the third-party products, not these terms. Any third party that provides a third-party product is a "  third-party provider  " and is independent of us, so please be aware that a third-party provider may also charge you fees in addition to what you pay us. Remember that we have no obligation to support third-party products and do not guarantee the initial or ongoing interoperability of the platform or our services with any third-party products.

23.  Third-Party Terms and Descriptions:  Third-party products are subject to the terms and conditions and privacy notices set by their providers. It is your responsibility to review and ensure that you agree with the terms and conditions and privacy notices set by the third-party providers. These will likely include how the third-party providers will use the data you provide to them. The descriptions of third-party products that we publish, and any associated links, have been provided to us by the third-party providers. While we make all reasonable efforts to verify the accuracy of these descriptions, the third-party providers are solely responsible for them. We do not endorse or assume any responsibility for third-party products, regardless of whether they are described as "authorized," "certified," "recommended," or similar, and we are not liable to you with respect to them. You access and use third-party products and websites at your own risk. You agree to resolve any disagreement between you and a third-party provider regarding a third-party product directly with that third-party provider and not with Califica.

Prices and payments

Unless you use our free plan or a free trial, you will need to pay to access and use our services. The price and any other specific terms and conditions for you will be explained when you agree to purchase our services.

24.  Trials:  You may be offered a trial of some of our services for a limited or short period, as set out in the relevant marketing materials provided at that time. We may withdraw or modify your access to such services at our discretion, without prior notice and without liability. Unless otherwise stated in the relevant marketing materials, after the trial period, your access to such services may be terminated in accordance with the terms or restrictions notified to you at that time. If you wish to continue using these services after the trial, you will need a subscription.

25.  Califica Subscriptions:  We offer our business users and freelancers access to our free plan, which allows the use of a wide range of Califica services. However, to access some of our services, you need to pay for one of the many subscriptions we offer. In most cases, you will pay us directly, but if you purchased a subscription through a partner, you will need to pay your partner for your subscription (unless we tell you otherwise). The subscription price may vary by region. The price and any other specific terms of your subscription are set out in the marketing materials you agree to when you purchase it. If you and we have agreed to make changes to the scope of your subscription during the subscription period (for example, adding another domain or additional services), we may require you to sign or accept updated marketing materials, and in such cases, we reserve the right to increase the price accordingly.

26.  Standard Rates and Discounts : We may update or change the standard prices of our services from time to time. Any discount, promotion, offer, or special condition stated in a quote, order form, or similar document applies only during the subscription period specified therein, and we are under no obligation to continue offering such discount, promotion, offer, or special condition during subsequent subscription periods.

27.  No refunds or credits:  Unless we have specifically stated otherwise elsewhere in these terms, we will not owe you any refund or credit if you or we cancel your subscription in accordance with these terms.

28.  Taxes for the use of our services:  Our prices do not include all applicable taxes. You are responsible for paying all other fees and external taxes associated with the use of our services, where applicable, including value-added tax, sales tax, or other similar charges, if any.

29.  Importance of Timely Payments:  To continue accessing the services included in your subscription, you must make timely payments according to the subscription price you selected. Unless your subscription order details state otherwise, or you purchased your subscription through a partner and we have agreed that you must pay your partner for your subscription, the fees for each subscription period must be paid to us in advance. If we have issued you an invoice, you must pay it within the period indicated on it. To avoid late or non-payment, please ensure that we or your partner (if applicable) have accurate payment information. If we or your partner (if applicable) do not receive timely payments for your subscription, or if we do not receive timely payments from your partner for your subscription, we may suspend or even terminate your access to our services (see the  Termination and Suspension section) . In the event of late payment of any outstanding amount, we reserve the right to charge you interest on the outstanding amounts. You will also be responsible for any costs we reasonably incur to collect such amounts, including collection costs and legal fees.

Privacy and use of data

We may receive and process personal data from your authorized consumers and users, which we explain below. Please also read our Data Processing Agreement, which forms an important part of these terms, and  our Privacy Policy  , which provides further details on how we manage personal data.

30.  Privacy Laws:  You and we agree to comply with all applicable privacy and data protection laws and regulations (“  applicable privacy laws  ”).

31.  Invitation Data:  When you (or we on your behalf) send invitations to your customers to write a review on our platform about your services, locations, or products, we are providing you with "review invitation services." If the type of review invitation service we provide requires us to receive or process personal data from those customers ("  invitation data  ") before they submit a review on our platform in response to an invitation, then:

You will be provided with these invitation-to-review services:

  • by Califica if your contract is with Califica;

Califica will at all times be the Califica group entity responsible for making decisions about how we process invitation data on your behalf.

  • Our Data Processing Agreement will apply to this processing activity;
  • To the extent that we, as a service provider to you, receive data from you about your consumers who are residents of the United States and whose data is protected by U.S. state privacy and data protection laws, the U.S. Privacy Laws Supplement (which is part of these terms) will apply to you in addition to our Data Processing Agreement; and
  • You confirm that you will have all the rights, permissions and consents required by applicable privacy laws to provide us with the invitation details.

32.  Other personal data:  The personal data that we collect about your authorized users or other persons representing you (including your employees) in connection with the creation and administration of your business account, the provision of customer services or registration for and use of our services, will be handled by us in accordance with our  privacy policy  .

Security

We take security very seriously, and so should you! You can read all about our practices in our Help Center. We do everything we can to keep your data safe, but we need your cooperation to protect our services and your data.

33.  Do your part to keep your data secure:  You play an important role in keeping your login details secure, not allowing anyone else to use them, and ensuring you have strong security on your systems. If you detect any unauthorized use of your password or any breach of the security of your account or the email address linked to it, you must inform us immediately. You also agree not to use free-form fields on any of Califica's systems or services to store personal data (unless it is a field that explicitly requests personal data, such as your first or last name).

Confidential information

We take reasonable precautions to protect your confidential information and we expect you to do the same with ours.

34.  Confidentiality:  By using our services or platform, you may share confidential information with us and may learn confidential information about us. Both you and we agree to take reasonable measures to protect each other's confidential information from access by unauthorized persons, entities, or other third parties. Both you and we may share each other's confidential information with legal, governmental, or regulatory authorities if required to do so by law. We may also share your information confidentially with our affiliates, advisors, auditors, and financial advisors, and with any third party conducting due diligence on our business. Information will not be considered confidential if the recipient already knew it and it was not subject to confidential treatment, or if the information is publicly available (but not as a result of a breach of this confidentiality section). For the avoidance of doubt, your user-generated content and any activity data on the platform will not be considered your confidential information.

Termination and suspension

Below, we explain when your subscription and/or access to our services may be terminated or suspended.

Your termination rights:

If you have a subscription:

35.  If you do not want your subscription to automatically renew for any reason:  If you do not want your subscription to automatically renew at the end of a subscription period, you must: (a) if you purchased your subscription directly from us, inform us by sending an email to support@rate.reviews at least 30 days before the end of your current subscription period; or (b) if you purchased your subscription through a partner, you must inform your partner in accordance with the terms and conditions you have agreed with them.

Even after you notify us or your partner (if applicable), you will continue to have access to the services included in your subscription for the remainder of your current subscription period. If you haven't yet paid, you will be required to pay all subscription fees for the entire current subscription period. After your subscription period ends, you will still have access to the services in our free plan. If you continue to use the services in our free plan after your subscription ends, these terms will continue to govern your use of those free services.

  • we materially breach any of these terms and fail to remedy the breach within 14 days of receiving your notification of the breach;
  • we materially breach any of these terms and the breach cannot be remedied; or
  • If our service becomes permanently unavailable as a whole, you will receive a pro-rata refund of any prepaid amounts related to the period following the termination date.

If you cancel your subscription due to a serious breach on our part, you will immediately lose access to the services included in your subscription, but you will continue to have access to the services in our free plan. You will not receive a refund or credit for any payments you have already made; however, if your subscription period has not yet expired, you will not be required to pay any fees.

If you're on our free plan:

37.  Deletion of your business account and suspension of use of our services:  Except for the sections of these terms that survive termination (see the  Survival section ), these terms will terminate immediately if you cease using our services and delete your business account.

38. Please note that, regardless of whether you cancel your subscription or delete your business or merchant account, these terms will continue to apply to everything that happened before the cancellation.

Our termination and suspension rights:

40.  Immediate Termination by Califica:  Califica may also cancel your subscription or access to your business account or to all or any of our services immediately if:

  • At our discretion, we determine that your business values or core beliefs conflict with ours (what we may call an incompatible business).

If you haven't yet paid, you will remain responsible for paying all subscription fees for the entire current subscription period (unless we cancel your subscription because your business values or core beliefs conflict with ours). If you have already paid, you will not be entitled to any refund or credit, except if we cancel your subscription because your business values or core beliefs conflict with ours. In that case, we will refund the portion of the subscription fee you have prepaid for the remaining period, less any charges or expenses we have incurred in connection with your subscription.

41.  Suspension:  We may suspend your access to and use of our platform and/or services, in whole or in part, if:

  • At our discretion, we consider that you are in breach of these terms;
  • At our discretion, we believe that you have violated the guidelines, for example, after receiving a warning, you continue to misuse the review reporting feature or modify your company, business or freelancer profile in a way that we believe is misleading or may deceive consumers.
  • does not pay the full amount of your subscription on time;
  • your partner doesn't pay their subscription on time; or
  • In our opinion, we believe that your use of our services poses a security risk to our platform or our services.

You will remain responsible for all subscription fees incurred during the suspension period and will not be entitled to any refund or credit.

If you're on our free plan:

42.  Immediate Termination or Suspension for Any Reason:  We may terminate or suspend access to your business account and/or to all or any of our services immediately at any time and for any reason.

For all users, whether they have our free plan or a subscription:

48.  No professional advice is offered:  Califica does not offer any type of professional advice. For example, we do not offer financial, tax, or legal advice. We may provide you with information that we believe is helpful, such as our suggested templates for the review invitations you send to your customers or the information and analysis you access through your business account. However, this should not be considered advice, and we are not responsible for your use of this information or the conclusions you draw from it. It is your responsibility to ensure that you use our services in accordance with applicable law.

49.  Changes to these terms:  We may modify these terms from time to time. 53.  Blocking your access, disabling your subscription, or refusing to process a payment:  Because our sites are global, different laws may apply in different countries that restrict our relationship with you. We may block your access, cancel your subscription, or refuse to process a payment if we reasonably believe there is a risk, such as a potential violation of a law or regulation, associated with you, your company, your subscription, or a payment. Examples of where we might do this include transactions where the payment originates from a sanctioned person or country; or where we reasonably believe there is a legal or regulatory issue. You warrant that you are not located in a sanctioned country or on a sanctions list. We may also suspend user or business accounts from a country if we are unable to receive payments from that country. You should check which payment methods are available in your country to make payments. We may take any of these actions without prior notice.

We are not responsible for the content or accuracy of translated versions of these terms.

60.  Our Contracting Entities and Applicable Law:  These terms and any dispute or claim arising out of or relating to them, their subject matter, or their formation (including non-contractual disputes or claims, and preliminary or provisional applications or proceedings) will be governed by and construed in accordance with the laws of the Califica entity with which you are contracting, as set out in the column entitled “  Applicable Law  ” in the table below:

Malaga CP 29190, Spain

Unless we notify you about a different Califica entity in the marketing materials we provide when you register (in which case the respective applicable law that applies to your contract with Califica will be that set out in this table), the Califica entity you are contracting with and the applicable law that applies to your contract with Califica will be those set out in the table above.

63.  Califica's Information Rights:  You agree to promptly provide Califica with information and access to audit your use of our services and your compliance with these terms and our guidelines.

For example, we may ask you to provide information about your invitation process, including how and when you send review invitations or direct consumers to your business profile page, the templates you use, and provide random anonymous examples of invitations.

We will notify you well in advance of any audit. Any audit we conduct will be at our expense and limited to once per calendar year.

64.  Conflicts:  If there is any conflict or inconsistency between these terms and the business materials, the business materials will take precedence with respect to that conflict or inconsistency.

TERMS AND CONDITIONS BLOCK: PRIVATE REVIEWS

1. What is a private review?

The Platform allows a user to publish two types of review:

Public review: visible to anyone and counted towards the business's score.

Private review: visible only to the recipient business. It is not published, does not appear on the business's public profile, and does not count towards its rating.

The user chooses the type of review when creating it.

2. What is it for?

Private reviews exist to give users a way to communicate a problem or complaint directly to the business, so that the business can try to resolve it before the opinion becomes public.

3. Private conversation

When a user creates a private review, a private conversation channel is enabled between the user and the business.

The business responds first. Each participant must wait for the other's response before intervening again.

Each participant has a maximum number of responses per conversation cycle.

Changing the visibility of the review does not reset that limit.

The conversation is automatically closed if the review is rejected by moderation.

4. Preliminary business verification

Before being submitted to the business, the private review goes through moderation. The business does not receive reviews that have been rejected.

5. The review does not disappear because it is private

A private review is not deleted when it is rejected. Its record is kept along with the reason for rejection, and the user can correct it and resubmit it.

6. Subsequent publication by the user

The user can make their private review public whenever they wish.

When you post it, the review and the business's response may appear together on the public profile, depending on what the user decides to share at that time.

The user can limit what they share: only the text, or also the photos and the business's response.

If the user modifies the main text of the review, the option to share the business's previous response is no longer available, because that response corresponded to a different version of the review.

The number of times a single review can be published is limited by the current Platform settings.

7. Use of conversation for business

The business agrees to use the private channel exclusively to try to resolve the issue reported by the user.

It is forbidden to:

Using the conversation to offer benefits in exchange for modifying or removing a review.

To pressure, intimidate, or threaten the user.

Requesting personal data beyond what is strictly necessary to resolve the problem.

8. Limits of private reviews

Private reviews do not replace the business's customer service and do not obligate the business to accept the user's request.

The business is not obligated to respond, although it is recommended to do so in order to take advantage of the purpose of this mechanism.

9. Data protection

The content of the private conversation is accessible to the user, the recipient business, and Platform staff with moderation and support functions.

This is in accordance with the Privacy Policy https://www.califica.reviews/privacy-policy
